TERMS OF SERVICE

Introduction

1. The following general terms of service (“Terms") govern and manage the access or use by you(“Customer”, “you”, “your”, “user”) of the domain name ‘creditlinks.in’, and its related subdomains, sites, services, and tools (collectively, the "Platform"), owned, managed and operatedby Asset Direct DBA Creditlinks India Private Limited, a private company incorporated under theCompanies Act, 2013 with its registered office at WeWork Vaswani Chambers, 1st floor, 264-265,Dr Annie Besant Road, Worli Colony, Mumbai City, Mumbai, Maharashtra, India, 400030 (“Banxx”, “we”, or “us” or “our”).
2. Please read these Terms, as they contain the terms and conditions governing your use of thePlatform and any content such as text, data, information, software, graphics, audio, video orphotographs etc. that Banxx may make available through the Platform and any services that Banxxmay provide through the Platform.
3. By accessing, browsing or otherwise using the Platform, you are agreeing to be bound by theseTerms and concluding a legally binding contract with Banxx. Please do not access or use thePlatform if you do not agree with the Terms or are unable to be bound by them. In addition, if youvisit any of our Lending Partners' (as defined below) websites/ platforms or arrive at our Platformthrough one of our many Lending Partners' websites/ platforms, you may also be subject to theterms and conditions of the website/ platform of our Lending Partners. As a condition of youraccess to and use of the Platform, you hereby agree that you will comply with all applicable lawsand regulations when using the Platform.
4. You should read the Terms and access and read all further linked information, if any, referred to inthese Terms, as such information contains further terms and conditions that apply to you as a userof the Platform.
5. If you are unwilling or unable to be legally bound by these Terms, please do not use the Platform.You cannot accept these Terms if: (a) you are not lawfully entitled to use the Platform or (b) if youare not of legal age to form a binding agreement with Banxx in accordance with the laws of India.
6. By using the Platform, you hereby consent to the use of your information as we have outlined inour Privacy Policy hosted at [●] (“Privacy Policy”). Please review the Privacy Policy, which alsogoverns your visit to the Platform, to understand Banxx's practices regarding use of yourinformation.
7. Banxx reserves the right, at its sole discretion, to change, modify, add or remove portions of theTerms, at any time and will notify you by email or post a conspicuous notice on the Platform inthe event of any material revisions to these Terms of . It is your sole responsibility to review theTerms periodically for updates or changes. Your continued use of the Platform following theposting of changes shall be deemed to mean that you accept and agree to the revisions made tothese Terms. .

2. ELECTRONIC RECORDS

1. These Terms are an electronic record in terms of the Information Technology Act, 2000 and rulesmade thereunder. This electronic record is generated by a computer system and does not requireany physical or digital signatures.
2. These Terms are published in accordance with the provisions of rule 3(1) of the InformationTechnology (Intermediaries Guidelines And Digital Media Ethics Code) Rules, 2021 that requirespublishing the rules and regulations, privacy policy and terms of use for access or usage of thePlatform.

3. GENERAL TERMS OF OUR OFFERINGS

1. Banxx, hereby, operates the Platform, which facilitates your access to information, primarily aboutloans and related financial services and other products or services provided by our LendingPartners (as defined below) whilst using this Platform (“Services”). Through the Platform, wefacilitate provision of short-term credit facilities (“Credit Facility”) to users interested in availingloans (“Borrower(s)”), by connecting them with our non-banking financial company (“NBFC”)partners, who are authorized by the Reserve Bank of India (“RBI”) to offer and sanction suchCredit Facility on the Platform (“Lending Partners”).
2. We receive a fee and/or commission from such partners when you use our service to purchaseproducts or avail services from them.
3. Banxx does not charge any registration/ membership or browsing fee. However, Banxx reservesthe absolute right to charge any fee for registration/ membership or browsing fee at any time. Allsuch fees that Banxx may charge will be informed to the users by posting them on the Platform,and such changes shall automatically become effective immediately after they are posted on thePlatform. All such fees charged by Banxx shall be in Indian Rupees. Your continued use of Banxxshall be deemed as an acceptance of the amended terms of the Terms from time to time.

4. MEMBERSHIP ELIGIBILITY
‍

Use and access of this Platform is strictly available only to persons who can enter into legallybinding contracts under the Indian Contract Act, 1872 and is not a person barred from receivingServices under the laws of India or other applicable jurisdiction. Persons who are "incompetent tocontract" within the meaning of the Indian Contract Act, 1872 including minors, un-dischargedinsolvents and persons of unsound mind are not eligible to use the Platform. Any person under theage of 18 (eighteen) shall not register on the Platform and shall not transact on or use the Platform.Banxx reserves the right to terminate any person's membership and/or refuse to provide such personwith access to the Platform if it is brought to the notice of Banxx or if Banxx discovers for itselfthat such person is not eligible to use the Platform.

5. OPENING OF ACCOUNT ON PLATFORM

‍

1. The Platform allows only limited and restricted access to the Services for unregistered users. Inorder to use the Platform holistically, and to avail the Services, you will have to create an accountby signing up on the Platform ("Account"), which can be done by providing/ using the following:(i) your cell phone number with password; or (ii) email address with password; or (iii) Google orother social media logins; or (d) such other login credentials that are adopted by the industry forsetting up an Account with the Platform.
2. Upon entering the required details, you may either receive a One Time Password (“OTP”) for thepurpose of verification or your Account or your Account may be verified by using Google or othersocial media logins or such other auto verification process adopted by the industry. Uponcompletion of verification, the Account is created and is ready for use. You shall not transfer orshare your Account information with anyone or create more than one Account.
3. Once registered, in order to log into the Account on the Platform, you will be required to providethe following: (a) your cell phone number with password; or (b) email address with password; or(c) Google or Facebook social logins; or (d) such other login credentials that are adopted by theindustry for logging into the Account with the Platform used at the time of signing-up (“LoginCredentials”). Upon being successfully registered on the Platform you will be provided access toa dashboard which will enable you to access your Account details.
4. You shall be solely responsible for maintaining confidentiality of the Login Credentials, and to theextent allowed by law, you hereby accept responsibility for all activities on the Accountauthenticated through the Login Credentials, whether authorized or not. You agree to keep LoginCredentials confidential and secure, and you shall not give or make Login Credentials available,directly or indirectly, to any unauthorized individual. You acknowledge and agree that if you allow,whether through action or inaction, a person to gain access to the Login Credentials, with or withoutpermission, you are authorizing that person to use the Platform through the Account, and you shallbe responsible for all actions that result from such access, even if you did not want the actionsperformed, and even if they are unauthorized or fraudulent. Banxx shall not be held liable in anymanner whatsoever for lack of any such authorization whilst creating the Account.
5. Banxx cannot and will not be liable for any loss or damage arising from or arising out of your useof the Platform, theft of the Login Credentials, use of the Login Credentials or release of the LoginCredentials to a third party or your authorization to allow another person to access and use thePlatform, using the Account.
6. In case of any misappropriation or unauthorised access of the Account, you agree to communicatethe same to Banxx immediately. You shall further ensure that you exit/ logout from the Account atthe end of each session. Banxx shall not be liable for any loss or damage arising from your failureto comply with this provision. You may be held liable for losses incurred by Banxx or any user orvisitor of the Platform due to authorised or unauthorised use of the Account, as a result of yourfailure to keep the Login Credentials confidential.
7. You agree that the information provided by you to Banxx, at all times (including duringregistration), will be true, accurate, up-to-date, and complete. You further agree that if you provideany information that is untrue, inaccurate, not up-to-date or incomplete or becomes untrue,inaccurate or incomplete or if Banxx has reasonable grounds to suspect that such information isuntrue, inaccurate, not up-to-date, incomplete or not in accordance with the these Terms, Banxxshall have the right to indefinitely suspend or terminate or block access to the Account on thePlatform, and refuse to provide you access to the Platform. You are advised to use due caution whenproviding any information to Banxx accordingly.

6. LICENSE AND ACCESS‍

1. Banxx and its licensors, if any, retain exclusive ownership of the Platform, including text, software,scripts, code, designs, graphics, photos and other content and the copyrights, trademarks, servicemarks, logos, trade names, and other intellectual and proprietary rights associated therewith isowned by Banxx or others (including without limitation, the Lending Partners, third-party serviceproviders or other participants) that Banxx avails a licence to such content from. All such rights areprotected under applicable intellectual property laws in India.
2. As long as you comply with Terms, Banxx grants you a personal, revocable, non-exclusive, nontransferable, limited right to access and use the Platform, or any portion thereof, solely for thepurpose of obtaining the Services.

7. PROHIBITED USES

You agree, undertake and covenant that, during your` use of the Platform, you shall not host, display,upload, modify, publish, transmit, store, update or share any information that:
‍

1. belongs to another person or entity and to which you do not have any right;
2. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic,libelous, invasive of another person's privacy, insulting or harassing on the basis of gender, hatefulor racially or ethnically objectionable, relating or encouraging money laundering or gambling, orotherwise inconsistent or contrary to the laws in force in any manner whatsoever.;
3. is harmful to children;
4. is misleading in any way;
5. involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or"spamming";
6. infringes upon or violates any third party's rights including, but not limited to, any patent,trademark, copyright or other proprietary rights or intellectual property rights, rights of privacy(including without limitation unauthorized disclosure of a person's name, email address, physicaladdress or phone number);
7. Impersonates another person or provides instructional information about illegal activities such asviolating someone's privacy or providing or creating computer viruses;
8. tries to gain unauthorized access or exceeds the scope of authorized access to the Platform or toprofiles, blogs, communities, account information, bulletins, or other areas of the Platform orsolicits passwords or personally identifying information for commercial or unlawful purposes fromother users of the Platform;
9. engages in commercial activities without Banxx's prior written consent such as engages in contests,sweepstakes, barter, advertising etc;
10. interferes with another user's use of the Platform;
11. refers to any website or URL that, in Banxx's sole discretion, contains material that is inappropriatefor the Platform or any other website, contains content that would be prohibited or violates the letteror spirit of these Terms;
12. deceives or misleads the addressee/ users about the origin of the messages or knowingly andintentionally communicates any information which is patently false or misleading or grosslyoffensive or menacing in nature but may reasonably be perceived as a fact;
13. contains software viruses or any other computer codes, files or programs designed to interrupt,destroy or limit the functionality of any computer resource; or contains any trojan horses, worms orother computer programming routines that may damage, detrimentally interfere with, diminishvalue of, covertly intercept or steal any system, data or personal information;
14. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations withforeign States, or public order, or causes incitement to the commission of any cognisable offenceor prevents investigation of any offence or is insulting other nation;
15. is patently false and untrue, and is written or published in any form, with the intent to mislead orharass a person, entity or agency for financial gain or to cause any injury to any person; and
16. violates any law for the time being in force.
17. In no event and under no circumstances shall Banxx be held liable to you for any liabilities ordamages resulting from or arising out of your use of the Platform. You shall not use anyone else'saccount at any time.
    

8. RIGHTS & RESERVATIONS

Banxx reserves the right to:

1. Make all decisions in relation to inter alia your registration with Banxx;
2. Give you a username, different from the username chosen by you, if it impersonates an alreadyexisting username, or if Banxx feels it is otherwise inappropriate;
3. Request additional documents and additional information from you for the purpose of yourregistration as a user with the Platform; and
4. Deny access to the Platform or any portion thereof without notice for the following reasons: (i) anyunauthorized access or use by you, (ii) attempt(s) to assign or transfer any rights granted to youunder the ese Terms; (iii) violation of any of the provisions of these Terms or any applicable laws.

9. PROMOTIONAL OFFERS
‍

Banxx may, from time to time, announce certain offers with intent to promote its Platform and/orServices ("Promotional Offer(s)"). The Promotional Offer(s) would always be governed by theseTerms plus certain additional terms and conditions, if any prescribed. The said additional terms andconditions, if prescribed, would be specific to the corresponding Promotional Offer only and shallprevail over these Terms, to the extent they may be in conflict with these Terms. Banxx reserves theright to withdraw, discontinue, modify, extend and suspend the Promotional Offer(s) and the termsgoverning it, in its sole discretion

10. REFERRALS AND REWARDS

From time to time, Banxx may offer referral bonuses and rewards to you for inviting new users tothe Platform and for completing other activities on the Platform.

11. USERS’ POSTS AND REVIEWS

‍

1. The Platform may allow you to post certain content, data or information belonging to you, such asreviewing and allowing you to share your experience and views about a particular product/ Service,and rate product/ Service, post your comments and reviews in relation to the product/ Service onthe Platform on specific pages of the Platform, as well as submit/ post any suggestions, comments,questions or other information to Banxx using the Platform (collectively referred to "UserContent").
2. You, being the originator of the User Content, are responsible for the User Content that you upload,post, publish, transmit or otherwise make available on the Platform. You represent and covenantthat you have obtained all relevant consents and approvals in order to post the User Content andshall not post any content relating to or owned by a third party for the promotion or sale of products/Services of such third party. You further represent that all such User Content will be in accordancewith applicable laws. By sharing or submitting any content including any data and information onthe Platform, you agree that you shall be solely responsible for all content you post on the Platformand Banxx shall neither be responsible or liable for any User Content you make available on orthrough the Platform nor endorse any User Content on the Platform. Banxx reserves the right toremove any third-party marketing material and disable access to the User Content on the Platform.
3. You hereby grant Banxx a perpetual, non-revocable, worldwide, royalty-free and sub-licensableright and license to use, copy, distribute, display, publish, transmit, make available, reproduce,modify, adapt the User Content and create derivate works of the User Content. You represent andwarrant that you own or otherwise control all of the rights to the User Content that you post or thatyou otherwise provide on or through the Platform; and that, as at the date that the User Content isposted or submitted on the Platform: (i) the User Content is accurate; (ii) use of the User Contentyou supply does not breach these Terms; and (iii) that such User Content is lawful.

12. LINKS TO THIRD PARTY WEBSITES
‍

The Platform may contain or provide links and interactive functionality interacting to websites andresources of third parties. Since Banxx has no control over such third-party websites and resources,you acknowledge and agree that Banxx is not responsible for and has no liability for thefunctionality, actions, inactions, privacy settings, privacy policies, terms, or content of any suchwebsites or resources. You further acknowledge and agree that Your interaction with any third partyaccessed through the Platform is at your own risk and Banxx shall not be responsible or liable,directly or indirectly, for any damage or loss caused or alleged to be caused by or in connectionwith use of or reliance on any such content, goods or services available on or through any suchwebite or resource. Before enabling any sharing functions to communicate with any such websiteor otherwise visiting any such website, Banxx strongly recommends that you review and understandthe terms and conditions, privacy policies, settings, and information-sharing functions of each suchthird-party website.

13. MODIFICATION TO SERVICES
‍

1. Banxx reserves the right to alter or modify all or any part of its Services at any time without priornotice to the Customer. The Customer acknowledges that such modifications may be implementedto ensure compliance with any new or amended legal or regulatory requirements
2. Banxx retains the right, at its sole discretion, to suspend, modify, or permanently discontinue anyService (or any part thereof), with or without cause. Banxx shall not be held liable for any suchchanges, temporary suspensions, or discontinuations of Services.
3. If any amounts for products/Services under the relevant terms remain unpaid by you, you willremain liable to Banxx or its partners, as the case may be, for such payment obligations.

14. DISCLAIMER OF WARRANTIES
‍

THE PLATFORM AND ALL INFORMATION, CONTENT, MATERIALS AND SERVICESINCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORMARE PROVIDED BY BANXX ON AN "AS IS," "AS AVAILABLE" BASIS, WITHOUTREPRESENTATIONS OR WARRANTIES OF ANY KIND.BANXX MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS ORIMPLIED, AS TO THE OPERATION OF THE PLATFORM, THE ACCURACY ORCOMPLETENESS OF THE CONTENT AND THE ACCURACY OF THE INFORMATION.BANXX SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTERSYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANYCONTENT, MATERIALS, DOCUMENTS OR INFORMATION. YOU EXPRESSLY AGREETHAT THE USE OF THE PLATFORM IS AT YOUR OWN DISCRETION AND SOLE RISKAND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE RESULTINGFROM ANY TRANSACTION UNDERTAKEN THROUGH THE PLATFORM. NO ADVICE ORINFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BANXX ORTHROUGH OR FROM THE PLATFORM OR CONTENT SHALL CREATE ANY WARRANTY.TO THE FULL EXTENT PERMITTED BY LAW, BANXX DISCLAIMS ANY AND ALLREPRESENTATIONS AND WARRANTIES WITH RESPECT TO THE PLATFORM AND ITSCONTENT, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,WARRANTIES OF TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULARPURPOSE OR USE.FURTHER, BANXX AND ITS SERVICE PROVIDERS, AFFILIATES, BUSINESS PARTNERSAND LENDING PARTNERS MAKE NO WARRANTY THAT (I) THE SERVICES WILL MEETYOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY,SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THEUSE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANYPRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OROBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS,AND (V) ANY ERRORS IN THE TECHNOLOGY WILL BE CORRECTED.

15. LIMITATION OF LIABILITY
‍

IN NO EVENT SHALL BANXX, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS,AFFILIATES,GROUP COMPANIES, AND PARTNERS BE LIABLE FOR ANY DIRECT,SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY OR PUNITIVEDAMAGES, OR LOSS OF PROFIT OR REVENUES WHATSOEVER RESULTING FROM ANYCONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLEVIA THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANYOTHER LEGAL THEORY, AND WHETHER OR NOT BANXX IS ADVISED OF THEPOSSIBILITY OF SUCH DAMAGES. BANXX SHALL NOT BE LIABLE UNDER ANYCIRCUMSTANCES FOR DAMAGES, HOWSOEVER ARISING OUT OF OR IN ANY WAYRELATED TO PRODUCTS, SERVICES AND/OR INFORMATION OFFERED OR PROVIDEDBY THIRD-PARTIES THROUGH THE PLATFORM.

16. INDEMNIFICATION
‍

You shall indemnify and hold Banxx, its licensee, director, employee, officers affiliates,subsidiaries, representatives, Lending Partners and group companies (as applicable) and theirrespective officers, directors, agents, and employees, harmless from any and all claims or demands,or actions including reasonable attorneys' fees, made by any third party or penalty imposed due toor arising out of your breach of these Terms or your violation of any law, rules or regulations.

17. TERMINATION OF ACCESS TO THE PLATFORM
‍

1. Your Account can be terminated at any time by:
   
   1. You, by ceasing to use the Platform.
   2. Banxx, in its sole discretion for any reason or no reason, including your violation of theseTerms, or lack of use of Platform. You acknowledge that the termination of access to thePlatform may be affected without any prior notice, and Banxx may immediately deactivate ordelete the Account and all related information and/or bar any further access to the Account orthe Services.
2. If you are a Borrower using the Platform, You are prohibited from deleting your Account if thereremain any outstanding repayment obligations under the Credit Facility, as stipulated in your loanagreement with the Lending Partner. Should you delete your Account before fulfilling the completerepayment obligations as outlined in the loan agreement with the Lending Partner, such action shallnot absolve you from your contractual obligation to pay such outstanding amounts to the LendingPartner, and shall continue to be liable for any outstanding repayments on the Credit Facilityavailed.

18. TAKEDOWN POLICY

1. If you identify any content on the Platform that you believe violates Banxx’s policies or applicablelaw, please notify the Banxx Grievance Officer using the email address as specified below. In yournotification, you must include the following details:
   
   1. Your name, email ID, phone number and postal address;
   2. A precise description of the content in question along with its specific location on the Platform(including the relevant web page); and
   3. A detailed explanation of why you deem the content objectionable
2. Upon receipt of your notice, we will review the details provided and may take appropriate actionin accordance with our policies and applicable law, which could involve requesting additionalinformation from you or removing the content that has been identified.

19. MISCELLANEOUS
‍

1. Assignment: Banxx reserves the right, at its own discretion, to freely assign and transfer the rightsand obligations under these Terms to any third party.
2. Governing Law: These Terms shall be governed by and interpreted and construed in accordancewith the laws of India. The juridical seat and venue of jurisdiction shall exclusively be in Mumbai,India. In the event of any dispute arising out of these Terms the same shall be settled by a bindingarbitration conducted by a sole arbitrator, appointed jointly by both parties and governed by theArbitration and Conciliation Act, 1996. The venue of arbitration shall be Mumbai, India.
3. Severability and Waiver: These Terms, the Privacy Policy and other referenced material herein oron the Platform, constitutes the entire agreement between you and Banxx with respect to theproducts/Services offered on the Platform and supersede all prior or contemporaneouscommunications and proposals (whether oral, written or electronic) between you and Banxx withrespect thereto and govern the future relationship. If any provision of the Terms is found to beunenforceable or invalid, that provision will be limited or eliminated to the minimum extentnecessary so that the Terms will otherwise remain in full force and effect and enforceable. Thefailure of either party to exercise in any respect any right provided for herein shall not be deemed awaiver of any further rights hereunder.

   We shall respond to Your request(s) or grievance within twenty four (24) hours from the time ofreceipt. In the event that we are unable to acknowledge or provide a response within the stipulatedtimeframe for any reason, we shall duly notify you accordingly.
2. With respect to any Lending Partners:
   
   If the grievance is not resolved by the Banxx Grievance Officer within 30 (Thirty) days of lodgingthe grievance, or if the User who has availed any Credit Facility from the Lending Partner is notsatisfied with the response received from Banxx, such User may approach the Lending Partner tohave such grievance resolved.
